1. Agreement to Terms

By accessing and using the services of Exelitpro GmbH ("Company," "we," "us," or "our"), you agree to be bound by these Terms and Conditions. If you disagree with any part of these terms, you may not access our services.

2. Description of Services

ExelitPro provides:

  • AI and Machine Learning consultancy services
  • Cloud infrastructure management and migration
  • Digital transformation consulting
  • Cybersecurity services and audits
  • Data analytics and business intelligence solutions
  • Custom software development

3. Service Agreement

All services are provided under separate service agreements that specify:

  • Scope of work and deliverables
  • Timeline and milestones
  • Pricing and payment terms
  • Service level agreements (SLA)
  • Confidentiality obligations

4. Pricing and Payment

Service Pricing: Our services are priced as indicated in individual proposals and service agreements. Prices are subject to change with 30 days notice.

Payment Terms: Payment is due within 30 days of invoice date unless otherwise specified. Late payments may incur interest charges of 1.5% per month.

Recurring Services: Monthly recurring charges are billed in advance and are non-refundable.

5. Client Responsibilities

Clients agree to:

  • Provide accurate and complete information
  • Grant necessary access to systems and data as required
  • Respond to requests for information in a timely manner
  • Comply with all applicable laws and regulations
  • Maintain appropriate security measures for shared systems

6. Intellectual Property

Client Data: All client data and information remain the property of the client.

Custom Solutions: Custom software, algorithms, and solutions developed specifically for clients become the property of the client upon full payment.

Company IP: Our methodologies, frameworks, and general knowledge remain our intellectual property.

7. Confidentiality

We maintain strict confidentiality regarding all client information and will not disclose any proprietary information without written consent, except as required by law. This obligation continues indefinitely, even after termination of services.

8. Service Level Agreement

Availability: We strive for 99.9% uptime for managed services during business hours (Monday-Friday, 9 AM - 6 PM CET).

Support Response: Critical issues will be acknowledged within 4 hours, with resolution targeted within 24 hours.

Maintenance Windows: Scheduled maintenance will be performed outside business hours with advance notice.

9. Limitation of Liability

Our liability for any claim arising from our services is limited to the amount paid for the specific service in the 12 months preceding the claim. We are not liable for indirect, consequential, or punitive damages. This limitation applies to the fullest extent permitted by law.

10. Data Protection and Security

We implement industry-standard security measures and comply with applicable data protection regulations including GDPR. Clients are responsible for their own data backup and security measures for systems under their control.

11. Termination

By Client: Services may be terminated with 30 days written notice. Fees for completed work and notice period remain due.

By Company: We may terminate services for non-payment, breach of terms, or if continuation would violate applicable laws.

Effect: Upon termination, we will assist with data transfer and provide final deliverables for paid services.

12. Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control, including natural disasters, government actions, cyberattacks, or other force majeure events.

13. Governing Law

These terms are governed by German law. Any disputes will be resolved in the courts of Stuttgart, Germany. For international clients, we may agree to alternative dispute resolution methods.

14. Changes to Terms

We reserve the right to modify these terms at any time. Material changes will be communicated to active clients with 30 days notice. Continued use of our services constitutes acceptance of updated terms.
